Exploring routes to access hashrate.
The Company is exploring multiple routes to access hashrate, including the direct acquisition of mining hardware and indirect arrangements with established operators. These mechanisms are intended to provide Vaultz with ongoing exposure to Bitcoin block rewards and transaction fees, forming the core of the Company’s commercial activity.
While the Company also maintains a Bitcoin treasury policy, its primary business is operational in nature, centred around infrastructure participation within the Bitcoin ecosystem.

Alex Appleton
CEO & Board Memeber
Alex Appleton is an experienced CFO and board level leader, bringing over 25 years’ expertise throughout his career.
Previously CFO of Argo Blockchain Plc (“Argo”), a UK and Nasdaq listed Bitcoin Mining company, Alex was pivotal in raising over $300 million in equity and debt. Alongside Peter Wall, Alex led Argo’s successful Nasdaq IPO in 2021.
Alex is a member of the Institute of Chartered Accountants of Scotland. Alex brings governance, regulatory and operational expertise to the Company.

Sarah Gow
COO & Board Member
Sarah brings over 20 years’ experience in Senior roles within the Asset Management Operations industry, having worked for Citigroup, Salomon Brothers and Coutts & Co in London, New York and Jersey.
Sarah served as a Non-executive Director of Argo (2021–2023). Sarah supported Argo through its Nasdaq IPO and was a member of the audit and governance committees and chaired the remuneration committee.

Pierre Villeneuve
CIO
Pierre is a quantitative strategist and hedge fund founder with extensive experience in structuring investment products, portfolio construction and risk modelling. Pierre raised over $750m into hedge fund products working with clients such as Blackrock, Credit Suisse and large pension funds.
Pierre’s work in systematic investing was featured in “Managed Futures for Institutional Investors” (2011), and he has held regulatory status with both the CFTC/NFA in the USA and the Ontario Securities Commission in Canada.
Pierre holds a BMath (Computer Science) from the University of Waterloo, an MBA in Finance and is a Chartered Financial Analyst (CFA) charter holder.

Neil Ritson
Non-Exec Director
Neil Ritson is a geoscientist with a career spanning over 40 years in the energy and resource sectors and recognised expert in the Helium sector. After a 20 year career with BP working in technical and managerial positions around the globe, Neil become SVP, International for Burlington Resources before joining AIM listed Regal Petroleum plc as its CEO. Between 2010 and 2017, he was the CEO of LGO Energy plc and until 2018 the CEO, and later Executive Chairman, of Solo Oil plc.
In partnership with two of the UK’s principal helium research teams at Oxford and Durham Universities, Neil has developed a private company, Helium Resources Limited, which has successfully completed helium surveys in the UK and is seeking to license these for production.

Fungai Ndoro
Non-Exec Director
Fungai Ndoro is an experienced small-cap corporate financier with over a decade in the City advising growth companies.
Formerly with Peterhouse Capital, she has led transactions across IPOs, acquisitions, disposals, CVAs, open offers, and reorganisations for companies listed on the LSE, AIM, and AQSE.
Fungai has played a key role in structuring and launching several public companies, bringing strong transactional expertise and market knowledge to Vaultz’s board.

Charlie Wood
Non-Executive Chairman
Charlie Wood brings over 20 years of experience in capital markets, corporate finance, and business development, having advised a wide range of listed and private companies.
He is a Partner at Orana Corporate, a London-based advisory firm, and serves as a Director of Terra Nova Resources – a gold investment vehicle, focused on identifying and advancing high-quality gold assets.
Charlie has deep expertise in natural resources and technology, and has worked extensively with growth companies listed on AIM and ASX. As Non-Executive Chairman of Vaultz Capital, he provides strategic oversight, governance leadership, and global capital markets insight

At Vaultz Capital, our strategy is driven by a commitment to long-term value creation. We allocate capital efficiently across both our Bitcoin treasury and operating activities, ensuring that every deployment supports our core mission of maximizing Bitcoin-denominated shareholder value.
Our Bitcoin Treasury Strategy balances accumulation and resilience. Transparency and communication form a pillar of our core foundation that supports our mission.
We will disclose any material changes to our Bitcoin holdings through timely market updates and regulatory disclosures.
Risk Statement
Vaultz Capital Plc will hold a portion of its corporate treasury in Bitcoin, a digital asset commonly referred to as cryptocurrency. While the Board believes this strategy aligns with our long-term vision and is in the best interests of shareholders, we recognise that Bitcoin is classified as a high-risk asset by the UK Financial Conduct Authority (FCA).
Vaultz Capital is not authorised or regulated by the FCA, and Bitcoin itself remains an unregulated asset class within the UK. Accordingly:
