While the Board believes this strategy aligns with our long-term vision and is in the best interests of shareholders, we recognise that Bitcoin is classified as a high-risk asset by the UK Financial Conduct Authority (FCA).

Vaultz Capital is not authorised or regulated by the FCA, and Bitcoin itself remains an unregulated asset class within the UK. Accordingly:

• The value of Bitcoin is highly volatile and may rise or fall significantly over short periods.

• The Company’s ability to liquidate its Bitcoin holdings may be constrained by market conditions, liquidity, or operational limitations.

• Investors are not protected under the Financial Services Compensation Scheme (FSCS) or eligible to complain to the Financial Ombudsman Service (FOS) in relation to our Bitcoin exposure.
